Welcome to Casy! These Terms of Use (“Terms”) govern your access to and use of our platform and services, including our website, applications, and any related content or features (collectively, the “Service”). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, you may not use our Service.

1. Content

For the purposes of these Terms:
• “Casy Content” includes all text, graphics, images, software, and other materials provided or made available through the Service by Casy or its licensors.
• “User Content” refers to any Content you submit, post, or otherwise make available through the Service, excluding Casy Content and Organization Content.
• “Organization Content” refers to any Content associated with an Organization using the Service to manage and collaborate on tasks.

Content Ownership
• User Content: Casy does not claim ownership of User Content. By submitting User Content, you grant Casy a license to use, reproduce, display, and distribute it as necessary to provide the Service.
• Casy Content: Casy and its licensors own all rights, title, and interest in Casy Content, including any underlying technology and intellectual property. You agree not to alter, remove, or obscure any copyright, trademark, or proprietary notices.

Rights in User Content Granted by You
By making User Content available through the Service, you grant Casy a non-exclusive, transferable, worldwide, royalty-free license, with the right to sublicense, to use, store, reproduce, distribute, and display your User Content in connection with providing the Service and any related services. This license terminates when you delete your User Content, unless it has been shared with others who have not deleted it.

Responsibility for User Content
You are responsible for all User Content that you upload, post, or otherwise make available through the Service. By providing User Content, you affirm that you own or have the rights necessary to share the Content and that it does not infringe any third-party rights, violate any laws, or breach any agreements.

Rights in Casy Content Granted by Casy
Subject to compliance with these Terms, Casy grants you a limited, non-exclusive, non-transferable, revocable license to access and use Casy Content solely in connection with your use of the Service.

2. Restrictions on Your Use of the Service

You may not:
• Use the Service to upload, transmit, or distribute any content that is harmful, offensive, defamatory, fraudulent, or unlawful.
• Reverse-engineer, decompile, or otherwise attempt to extract source code or underlying components.
• Access the Service to create a similar or competitive product.
• Use the Service to infringe upon intellectual property rights or violate applicable laws or regulations.
• Circumvent any technological measures that Casy has implemented to protect the Service.
• Use any automated tools or systems (such as bots, spiders, or scrapers) to access the Service or collect data.

Casy reserves the right to monitor your use of the Service to ensure compliance with these Terms and to remove or restrict access to any Content that violates these Terms.

3. Accounts

You are responsible for maintaining the security of your account. Sharing login credentials is strictly prohibited, and you accept responsibility for all activities that occur under your account. You agree to notify us immediately if you suspect unauthorized access or other security breaches.

4. Workspaces

Workspaces are organizational areas within the Service where users can collaborate. Personal Workspaces are managed by individual users, while Organizational Workspaces are designed for team collaboration.
• Personal Workspaces: Content in a Personal Workspace is accessible only to the user who created it, unless shared with specific individuals.
• Organizational Workspaces: If you are part of an Organizational Workspace, you understand that the Organization owns the rights to all Content within that Workspace, including User Content shared therein. Organization administrators may access, modify, or delete Content and may control access to the Workspace.

5. Interacting with Organizational Workspaces

By participating in an Organizational Workspace, you acknowledge that all Content you post within that Workspace may be managed by the Organization, which may have policies and agreements governing your access and use of the Service within that Workspace. Casy does not control Organizational Workspaces and is not liable for any decisions or actions taken by the Organization in managing Content or users.

6. Subscriptions

Some features of the Service are available through paid Subscriptions. All Subscription fees are due at the start of each billing period and will renew automatically until canceled. You may cancel a Subscription anytime before the renewal date to avoid charges for the next billing cycle.

7. Fees and Fee Changes

Casy reserves the right to modify Subscription fees and features at any time. You will be notified of changes before they take effect, and continued use of the Service constitutes acceptance of any new fees.

8. Free Trials and Beta Services

Casy may offer Free Trials and Beta Services at its discretion. Free Trials will automatically convert to paid Subscriptions unless canceled before the end of the trial period. Beta Services are experimental and offered “as is” with no guarantees, and may be terminated or modified without prior notice.

9. Refunds

Fees for Subscriptions are non-refundable, including fees for partially used periods. Requests for exceptions must be directed to Casy support and will be reviewed at Casy’s sole discretion.

10. Communications from Casy

By creating an account, you agree to receive notifications, updates, and marketing communications from Casy. You may unsubscribe from marketing messages, though transactional messages related to your use of the Service will continue.

11. Copyright Policy

Casy respects intellectual property rights and adheres to the Digital Millennium Copyright Act (DMCA). If you believe any Content on the Service infringes your copyright, please contact Casy in accordance with our DMCA Policy.

12. Intellectual Property

The Service and Casy Content are protected by intellectual property laws. Unauthorized use of any Casy trademarks, logos, or proprietary information is strictly prohibited without prior written consent.

13. Feedback

Feedback provided by users becomes the exclusive property of Casy, and Casy may use it for any purpose without obligation or compensation.

14. Third-Party Services and Integrations

The Service may link to third-party services, such as external applications or integrations. Casy is not responsible for the privacy practices or content of these services. By enabling third-party services, you authorize Casy to share information with them as necessary for functionality.

15. Termination

Casy reserves the right to suspend or terminate your account at its sole discretion if you breach these Terms or engage in unlawful or harmful conduct. Content in Organizational Workspaces may be retained after termination according to the Organization’s policies.

16. Indemnification

You agree to defend, indemnify, and hold Casy harmless from all liabilities, damages, or expenses arising from your use of the Service, any breach of these Terms, or any violation of third-party rights.

17. Limitations of Liability

To the maximum extent permitted by law, Casy is not liable for any indirect, incidental, or consequential damages arising out of your use of the Service, including data loss, loss of profits, or business interruptions.

18. Disclaimer

The Service is provided “as is” and “as available,” with no warranties of any kind, including implied warranties of merchantability or fitness for a particular purpose. Casy does not guarantee that the Service will be uninterrupted, secure, or error-free.

19. Exclusions

Some jurisdictions may not allow the exclusion of certain warranties, so the limitations outlined here may not apply to you.

20. Confidential Information

Casy and users may share Confidential Information under these Terms, which both parties agree to protect and not disclose unless legally required. Confidential Information includes, but is not limited to, non-public business and technical information.

21. Mobile App Terms

Casy’s mobile app may include notifications and updates. You are responsible for any data or messaging fees associated with your use of the mobile app.

22. Governing Law

These Terms are governed by the laws of the State of California, USA, and any disputes will be resolved under California jurisdiction.

23. Compliance with Trade Controls

You agree to use the Service in compliance with U.S. trade laws, including export controls and sanctions.

24. Arbitration and Class Action Waiver

All disputes arising from these Terms will be resolved by binding arbitration. You waive the right to participate in a class action.

25. California Residents

California residents may report complaints to the Complaint Assistance Unit of the Division of Consumer Services.

26. Changes

Casy reserves the right to modify these Terms at any time. Continued use of the Service after modifications signifies acceptance of the updated Terms.

27. Waiver

Casy’s failure to enforce any right or provision in these Terms is not a waiver of that right.

28. Entire Agreement

These Terms constitute the entire agreement between you and Casy.

29. Survival

Provisions that should survive termination, including indemnification and limitations of liability, will continue in effect.
